These Terms & Conditions (“Terms”) govern the access to and use of the website https://www.cotodistributors.com (the “Website”), operated by Coto Distributors Inc. (“Coto,” “we,” “us,” or “our”).

By accessing, registering, or placing an order through this Website, you agree to be legally bound by these Terms.

2. Eligibility and Customers

Coto sells products to business customers (B2B) and individual consumers, subject to the following conditions:

  • A minimum order of $200 USD is required.
  • All customers must have a registered and approved account before placing orders.
  • Orders from outside the State of Florida or outside the United States are subject to special approval and may be declined at our sole discretion.

Coto reserves the right to approve, reject, suspend, or terminate any account at any time.

3. Orders and Payment

Accepted Payment Methods:

  • Credit Card
  • ACH
  • Check
  • Cash
  • 7-day credit (secured by credit card)
  • 15-day credit (requires a registered bank account and debit authorization)

Payment Terms:

  • New customers, special orders, or non-recurring customers: payment is required before dispatch.
  • Approved recurring customers: payment may be collected at delivery or after delivery, subject to approved terms.

Late Payments:

  • A $20 late fee per transaction will be applied to overdue payments.
  • Coto reserves the right to suspend or terminate accounts due to non-payment.

4. Pricing, Availability, and Shipping

  • Prices may change without prior notice based on market conditions or product availability.
  • Products displayed on the Website do not guarantee inventory availability.
  • Free delivery applies to online orders placed between 8:00 a.m. and 11:59 p.m. on the previous day.

5. Delivery

  • Delivery Days: Monday through Saturday
  • Same-day delivery or Sunday delivery is subject to a $50 delivery fee.
  • Estimated Delivery Window: 7:00 a.m. – 3:00 p.m.

Access & Receipt:

  • Customers are responsible for providing accurate delivery hours at registration.
  • If the customer is closed, unavailable, or access is restricted, Coto shall not be responsible for failed or delayed deliveries.
  • Drop-off deliveries or lockers are permitted when access codes or instructions are provided by the customer.

6. Perishable Goods & PACA Policy

Coto sells perishable products, including fresh produce and frozen goods.

  • Claims must be submitted on the same day or within 24 hours of delivery, in accordance with PACA terms.
  • Products must be complete and in their original packaging.
  • Photographic evidence of the product and original packaging is required for all claims.
  • At its sole discretion, Coto may:
    • Replace the product instead of issuing a refund
    • Schedule replacement for the following delivery day, subject to availability
  • Returns outside these conditions are not accepted.

7. Order Cancellations

  • Orders may be canceled through the Website until 11:59 p.m. on the day prior to delivery.
  • Cancellations made after 12:00 a.m. are subject to a $200 cancellation fee.

8. Website Use

The following activities are strictly prohibited:

  • Fraudulent use of the Website
  • Scraping, harvesting, or automated extraction of pricing or content
  • Unauthorized resale of products
  • Sharing user credentials (username or password)

Coto reserves the right to suspend or terminate accounts that violate these Terms.

9. Limitation of Liability

Coto shall not be liable for:

  • Delivery delays
  • Errors caused by third parties
  • Events beyond our control, including weather, supply chain disruptions, or force majeure events

In no event shall Coto be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or revenue
  • Business interruption damages

10. Accessibility

Coto is committed to digital accessibility.
Use of this Website is subject to our Accessibility Statement, available on the Website.

Temporary accessibility issues do not constitute a breach of these Terms.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute shall be brought exclusively in the courts located in Miami-Dade County or Broward County, Florida.

12. Modifications

Coto reserves the right to modify these Terms at any time.
Changes become effective upon publication on the Website.

13. Language

The English version of these Terms & Conditions shall be the legally binding version.
